1. Agreement to These Terms

The website available at https://www.practello.com, including subdomains and related web applications ("Website"), is operated by Virede LLC ("Practello," "we," "us," or "our"), a limited liability company incorporated in Delaware, United States, with registered office at Virede LLC, 8 The Green, Dover, DE 19901, USA.

Practello provides an online education platform for software developers: coding exercises, learning paths, and related digital learning materials ("Services").

By creating an account or using the Services, you agree to these Terms of Service ("Terms"). If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

These Terms include a binding arbitration clause in the dispute section below. Please read carefully.

2. Services Offered

The Services may include:

• Access to a library of coding exercises and learning materials organized by topic and difficulty • Accounts with features such as bookmarks and progress tracking, as described on the pricing page • Optional subscriptions (e.g., Pro, Ultra) that unlock platform features • Optional one-time purchases of exercise bundles — each purchase grants permanent access to the stated number of exercises for the named topic, delivered digitally at the time of purchase

Practello is the merchant of record for digital educational content. We are not a marketplace for third-party sellers.

The Services do not include stored-value accounts or virtual currency. Purchases grant direct, non-transferable access to specific educational content under your account.

3. Accounts and Eligibility

You must provide accurate registration information. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.

You are responsible for safeguarding your password and for all activity under your account. Notify us promptly at support@practello.com of any unauthorized use.

You may not create multiple accounts to abuse trials or promotions, impersonate others, or circumvent enforcement of these Terms.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You may NOT:

• Copy, scrape, or redistribute our learning materials for commercial republication without permission • Attempt to gain unauthorized access to our systems or other users' accounts • Use the Services to violate intellectual property or export control laws • Interfere with or disrupt the Services • Upload malware or harmful code • Harass, threaten, or abuse our staff or other users

We may suspend or terminate accounts that violate this section.

5. Fees, Subscriptions, and Purchases

**Subscriptions:** If you purchase a subscription, it renews at the stated interval until you cancel. Prices are shown before checkout in USD unless otherwise stated. Taxes may apply.

**One-time purchases:** Exercise bundles are described at checkout by topic, exercise count, and price. Payment grants immediate digital access to those exercises for your account as described.

**Payment processing:** Payments are processed by third-party processors (e.g., Stripe, Airwallex). You authorize us to charge your payment method for amounts you agree to at checkout.

**Failed payments:** We may retry failed charges and may suspend access until payment succeeds.

**No stored value:** Fees are not deposits. Purchases grant direct access to specific educational content — there is no intermediary unit of exchange or redeemable account.

6. Refunds

Refund windows and procedures are described in our Refund Policy (https://www.practello.com/legal/refunds). That policy is incorporated by reference.

7. Intellectual Property

The Services, including software, text, exercises, layouts, and branding, are owned by Virede LLC or its licensors.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal learning in accordance with these Terms.

You may not resell, sublicense, or publicly redistribute our content except as expressly permitted.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We do not guarantee employment, salary, or career outcomes. The Services are educational tools for skill development.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIREDE LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (USD $50), EXCEPT WHERE PROHIBITED BY LAW.

10. Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, for legal or security reasons, or if required by our payment partners.

Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, and dispute resolution) will survive.

11. Dispute Resolution; Arbitration

Except where prohibited by law, disputes shall be resolved by binding arbitration administered by American Arbitration Association (AAA) under its applicable rules, in Delaware, United States. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.

Either party may seek injunctive relief in court for intellectual property or misuse of the Services.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
